The terms governing your use of the Accto platform.

1. Nature of the Platform — Important Disclaimer

Accto is an internet portal that facilitates communication between professionals and potential users of professional services. We are not a law firm and not a chartered accountancy firm, and we do not ourselves provide legal, tax, accounting, financial, or other professional advice or services.

Through the Platform we connect Users with independent third-party professionals (including Chartered Accountants, Company Secretaries, advocates, and other consultants) ("Advisors") and provide technology, documentation, and administrative support to facilitate that communication and the delivery of services by those Advisors.

No agency relationship. Accto is not an agent, partner, employee, representative, or joint venturer of any Advisor, and no Advisor is an agent or representative of Accto. Accto only facilitates communication between Advisors and potential clients. Any professional advice, opinion, service, or engagement is provided by the relevant Advisor in their own independent professional capacity, on their own responsibility, and not by or on behalf of Accto. The professional relationship (including any attorney–client or similar relationship and all associated duties) is solely between you and the Advisor.

Accordingly, Accto does not warrant, endorse, or guarantee the qualifications, advice, conduct, work product, or outcomes of any Advisor, and is not responsible or liable for any act, omission, error, negligence, or deficiency in service of any Advisor. Any dispute regarding an Advisor's services is to be resolved directly between you and the Advisor.

Information published on the Platform (other than communications received directly from an Advisor in the course of your engagement) is for general informational purposes only and does not constitute professional advice. You are responsible for the accuracy and completeness of the information you provide and for independently verifying any output before relying on it for statutory or commercial decisions.

2. Eligibility

You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. If you use the Platform on behalf of a business or other entity, you represent that you are authorised to bind that entity to these Terms.

3. Services

3.1 The Platform facilitates access to services that may include, without limitation, business and entity registration, tax registration and filing, accounting and bookkeeping support, statutory and regulatory compliance, trademark and intellectual property filing support, and related documentation services ("Services"). Professional components of the Services are delivered by independent Advisors; Accto's role is limited to facilitation, technology, documentation, and administrative support (see Section 1).

3.2 The specific scope, deliverables, timelines, and fees for any Service are as described on the relevant Service page, package, or order confirmation at the time of purchase. In case of conflict, the order confirmation governs.

3.3 Government fees, statutory charges, and third-party costs (e.g., MCA, GST portal, trademark registry, stamp duty, professional/notary fees) are separate from our professional/service fees and may be payable to the relevant authority. These are subject to change by the authority and are outside our control.

3.4 Statutory timelines and outcomes (e.g., approval of a registration, grant of a trademark, processing by a government department) are determined by the relevant authority and are not guaranteed by us. Indicative timelines are estimates only.

4. User Accounts and Obligations

4.1 You agree to provide true, accurate, current, and complete information and to keep it updated. We may rely on the information and documents you provide without independent verification.

4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4.3 You agree not to: (a) use the Platform for any unlawful purpose; (b) upload false, forged, or misleading documents; (c) impersonate any person or entity; (d) interfere with or disrupt the Platform; (e) attempt unauthorised access to any part of the Platform or its systems; or (f) use the Platform to launder money or evade tax or regulatory obligations.

4.4 You are solely responsible for the legality, accuracy, and consequences of the documents and information you submit for filing with any authority.

5. Fees and Payment

5.1 Fees are payable in advance unless otherwise agreed in writing. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (including GST) unless stated otherwise.

5.2 Payments are processed through third-party payment gateways. We do not store your full card or banking details (see our Privacy Policy).

5.3 We reserve the right to revise fees prospectively. Revised fees will not apply to Services already paid for.

5.4 Refunds, where applicable, are governed by our Refund & Cancellation Policy.

6. Turnaround, Client Cooperation, and Delays

6.1 Service timelines assume timely cooperation from you, including provision of complete and accurate documents, signatures, and information. Delays caused by you, by third parties, or by government authorities are not attributable to us and may extend timelines without liability on our part.

7. Intellectual Property

7.1 All content on the Platform — including text, graphics, logos, the Accto name and marks, software, and design — is owned by or licensed to Accto and is protected under applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

7.2 You retain ownership of documents and information you submit. You grant us a limited licence to use them solely to provide the Services.

8. Third-Party Services and Links

The Platform may contain links to, or integrations with, third-party websites and services (including payment gateways and government portals). We are not responsible for the content, policies, or practices of such third parties.

9. Disclaimers

9.1 The Platform and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9.2 We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any particular statutory outcome will be achieved.

9.3 Information on the Platform may become outdated due to changes in law. We are not obligated to update it and are not liable for reliance on outdated information.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Services, whether in contract, tort, or otherwise, shall not exceed the professional/service fees actually paid by you to us for the specific Service giving rise to the claim (excluding government fees and third-party charges).

10.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

10.3 We are not liable for any act, omission, error, negligence, delay, or deficiency in service of any Advisor, payment gateway, government portal, or other third party. As stated in Section 1, Advisors are not agents of Accto, and any claim regarding their professional services lies between you and the Advisor.

10.4 Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g., for fraud or wilful misconduct).

11. Indemnity

You agree to indemnify and hold harmless Accto, its directors, officers, employees, and partners from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) inaccurate, forged, or unlawful documents or information you provide; or (c) your violation of any law or third-party right.

12. Confidentiality

We will treat the documents and information you provide as confidential and use them only to provide the Services, subject to our Privacy Policy and applicable law (including disclosures required by law or to government authorities).

13. Termination

13.1 We may suspend or terminate your access to the Platform for breach of these Terms or for unlawful conduct.

13.2 Termination does not affect accrued rights and obligations, including payment obligations for Services rendered.

14. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, government action, changes in law, network or portal outages, strikes, pandemics, or failures of third-party service providers or government systems.

15. Governing Law and Dispute Resolution

15.1 These Terms are governed by the laws of India.

15.2 Subject to Clause 15.3, the courts at Chennai, Tamil Nadu shall have exclusive jurisdiction.

15.3 Any dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Chennai, Tamil Nadu, conducted in English.

16. Changes to These Terms

We may amend these Terms from time to time. The updated version will be posted on the Platform with a revised "Last updated" date. Continued use after changes constitutes acceptance.
